These General Terms and Conditions apply to all transactions involving Marleen Schut International. They govern all offers, contracts, pre-contractual discussions, and service agreements.

1. Definitions

1.1 Client (Party A): The individual or legal entity entering into an agreement with Marleen Schut International.
1.2 Coach: Marleen Schut International, registered in The Netherlands (KVK 99736799).
1.3 Contract: The agreement between the Client and the Coach, concerning participation in coaching programs, digital sessions, or other business services.
1.4 Written Communication: Includes physical documents as well as digital forms (email, WhatsApp, PDF, etc.).

2. Scope & Applicability

2.1 These General Terms & Conditions apply to all professional services provided by Marleen Schut International, including 1:1 coaching, business mentoring, digital resources, and training events.
2.2 By signing a contract or paying an invoice, the Client agrees to be bound by these terms.
2.3 Client terms and conditions are explicitly excluded unless otherwise agreed in writing.
2.4 In case one or more provisions of this document are deemed invalid, the remaining provisions shall remain in effect.

3. Pricing, Invoicing & Payment

3.1 All program fees are provided in Euro (€), unless stated otherwise.
3.2 VAT will be applied in accordance with Dutch tax legislation. Reverse charge may apply for EU business clients. For clients established outside the European Union, VAT may not be applicable in accordance with Dutch tax law.
3.3 Clients are responsible for fulfilling any tax or VAT obligations in their own country.
3.4 Invoices are sent digitally and must be paid according to the agreed-upon schedule.
3.5 If payment is not received within the due date, the Coach reserves the right to suspend access after a 7-day grace period and one written reminder.
3.6 Fees are non-refundable, unless otherwise required by mandatory law.

4. Delivery of Services

4.1 Services (such as live calls, coaching sessions, or digital resources) are delivered as outlined in the client agreement.
4.2 The Coach reserves the right to reschedule or modify sessions in the event of illness, emergency, or other necessary changes.
4.3 The Client is expected to actively participate and attend all scheduled sessions unless otherwise agreed.

5. Confidentiality

5.1 All content discussed in coaching sessions is considered confidential unless disclosure is required by law.
5.2 The Client agrees not to record, distribute, or repurpose any program content without prior written consent.
5.3 Group sessions may include shared learning experiences. Confidentiality among participants is expected.

6. Intellectual Property

6.1 All materials, tools, slides, frameworks, and content remain the exclusive intellectual property of Marleen Schut International.
6.2 The Client is granted a non-transferable, personal license to use materials for their own business and personal growth only.
6.3 Any reproduction, resale, or commercial use of the content without prior written permission is strictly prohibited.

7. Limitation of Liability

7.1 The Coach does not guarantee specific business or personal outcomes. Results depend on the Client's commitment and implementation.
7.2 The Coach shall not be liable for indirect damage, loss of income, or missed opportunities, except in cases of intent or gross negligence.
7.3 The Coach’s total liability shall be limited to the amount paid by the Client under the relevant agreement, except in cases of intent or gross negligence.

7.4 The Client remains solely responsible for all decisions, actions, and results arising from participation in the services.

8. Cancellation & Termination

8.1 Participation in events is confirmed upon full payment of the invoice.

8.2 In case of force majeure (such as illness or serious unforeseen circumstances), the Client may request a one-time transfer of their participation up to 3 days prior to the event.

Approval of rescheduling is at the discretion of the Coach.

8.3 If participation is transferred to a future event with a higher fee, the Client agrees to pay the difference in price.

8.4 The Coach reserves the right to reschedule or adjust the event in case of unforeseen circumstances. In such cases, participants will be offered an alternative date or equivalent solution.

8.5 The Client may not cancel once services have commenced, unless mandatory consumer protection law applicable to the Client provides otherwise.
8.6 In the case of serious misconduct or breach of contract by either party, the agreement may be terminated in writing.

9. Dispute Resolution & Jurisdiction

9.1 Parties shall first attempt to resolve any dispute amicably through dialogue.

9.2 If no resolution is reached within 60 days, disputes shall be submitted to the competent court in the Netherlands (District Court Midden-Nederland), unless mandatory law provides otherwise.
9.3 Dutch law applies to all contracts and services provided under these terms. Nothing in these Terms shall limit or exclude any rights the Client may have under mandatory consumer protection laws applicable in their country of residence.

10. Data Privacy

10.1 Client data is processed in accordance with the General Data Protection Regulation (EU) 2016/679 (GDPR).
10.2 Data is not shared with third parties without explicit consent, unless required by law.

11. Minors

Our services are not directed to individuals under the age of 16, and we do not knowingly collect personal data from them.

12. Final Provisions

12.1 These terms may be updated periodically. The current version is always available at www.marleenschut.com/terms.
12.2 Continued use of services implies acceptance of the latest version of these terms.

12.3 In the event of any inconsistency between these General Terms and a separately signed agreement, the separately signed agreement shall prevail.

13. Nature of Services.

The services are based on personal and strategic coaching methodologies.
Coaching is a collaborative process designed to support personal and professional development.
The Client acknowledges that transformation is subjective and individual, and no specific results are guaranteed.
